1. Acceptance of Terms

By accessing or using our transportation management system, you agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you and our company.

If you do not agree to these terms, you must not use our services. Your continued use of the service constitutes acceptance of any changes or updates to these terms.

We reserve the right to modify these terms at any time. Material changes will be communicated via email or notification on the platform. Your continued use after such changes constitutes acceptance of the modified terms.

2. Services Description

Our platform provides transportation management services including but not limited to:

Booking and scheduling of transportation services
Vehicle fleet management and tracking
Driver assignment and coordination
Route planning and optimization
Payment processing and invoicing
Customer support and assistance

We act as a platform connecting users with transportation providers. We do not directly provide transportation services but facilitate connections between customers and service providers.

3. User Accounts and Registration

Account Creation

To use our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials.

Account Security

You agree to:

Keep your password secure and confidential
Notify us immediately of any unauthorized use of your account
Be responsible for all activities that occur under your account
Not share your account with others
Provide accurate and truthful information

Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into this agreement.

4. Bookings and Payments

Booking Process

When you make a booking through our platform, you are entering into a contract with the transportation service provider. We facilitate this transaction but are not a party to the contract.

Pricing

All prices displayed are in the specified currency and include applicable taxes unless otherwise stated. Prices are subject to change without notice. The price confirmed at the time of booking will be honored.

Payment Methods

We accept the following payment methods:

Credit and debit cards (Visa, MasterCard, American Express)
Digital wallets and payment platforms
Corporate accounts and invoicing (for eligible businesses)

Payment Authorization

By providing payment information, you authorize us to charge the specified payment method for the total amount of your booking, including any applicable fees, taxes, and surcharges.

Refunds

Refunds are processed according to our cancellation policy (see Section 6). Approved refunds will be credited to the original payment method within 7-10 business days.

5. User Conduct and Prohibited Activities

You agree not to:

Use the service for any illegal or unauthorized purpose
Violate any laws, regulations, or third-party rights
Provide false, inaccurate, or misleading information
Interfere with or disrupt the service or servers
Attempt to gain unauthorized access to any part of the service
Use automated systems (bots, scrapers) without permission
Harass, abuse, or harm other users, drivers, or staff
Post or transmit offensive, defamatory, or inappropriate content
Reverse engineer, decompile, or attempt to extract source code
Remove or modify any proprietary notices or labels

Violation of these terms may result in immediate termination of your account and legal action where appropriate.

6. Cancellation and Refund Policy

Cancellation by Customer

Cancellation fees depend on the timing of cancellation:

More than 24 hours before service: Full refund
12-24 hours before service: 50% cancellation fee
Less than 12 hours before service: 100% cancellation fee (no refund)
No-show: 100% charge, no refund

Cancellation by Service Provider

If a service provider cancels a confirmed booking, you will receive a full refund and may be offered alternative arrangements or compensation.

Force Majeure

In cases of force majeure (natural disasters, severe weather, government restrictions, etc.), we may cancel services without liability. We will work to reschedule or provide alternative arrangements where possible.

7. Limitation of Liability and Disclaimers

Service Availability

We provide the service "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee uninterrupted, timely, secure, or error-free service.

Third-Party Services

We are not responsible for the acts or omissions of third-party service providers, including drivers and transportation companies. Your use of third-party services is at your own risk.

Liability Limits

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the service.

Maximum Liability

Our total liability to you for all claims arising from your use of the service shall not exceed the amount you paid to us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses arising from your use of the service, violation of these terms, or infringement of any rights of another party.

8. Intellectual Property Rights

All content, features, and functionality of the service, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, software, and the compilation thereof, are the exclusive property of our company and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the service for personal or business purposes in accordance with these terms. You may not:

Copy, modify, or create derivative works based on the service
Distribute, transmit, display, or perform the service publicly
Reverse engineer or attempt to extract the source code
Use our trademarks, logos, or branding without permission

Any unauthorized use of our intellectual property may result in termination of your account and legal action.

9. Termination of Service

Termination by You

You may terminate your account at any time by contacting customer support or using the account closure feature. Upon termination, you remain responsible for any outstanding obligations.

Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

You violate these terms and conditions
You engage in fraudulent or illegal activities
You fail to pay amounts owed
We are required to do so by law
We cease operations or discontinue the service

Effect of Termination

Upon termination, your right to use the service will immediately cease. We may delete your account and data, subject to our data retention policies and legal obligations. Provisions of these terms that by their nature should survive termination shall survive.

10. Governing Law and Dispute Resolution

Governing Law

These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which our company is registered, without regard to conflict of law provisions.

Dispute Resolution

Any disputes arising from these terms or your use of the service shall first be attempted to be resolved through good faith negotiations. If a resolution cannot be reached within 30 days, the dispute may be submitted to binding arbitration or court proceedings as applicable.

Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts in our registered location for any legal proceedings.
